Last updated: October 14, 2026

1. About these Terms

These Terms of Use (“Terms”) govern your purchase and use of The Shop Planner, available at planner.moodeestudio.com (the “Planner”), operated by Moodee Studio (“Moodee Studio,” “we,” “us,” or “our”).

By purchasing or using the Planner, you agree to these Terms and our Privacy Policy, available at planner.moodeestudio.com/privacy. If you do not agree, do not purchase or use the Planner.

You must be at least 18 years old and use the Planner for your own business purposes.

At checkout, you will be asked to confirm that you understand the product is digital, that access may begin immediately, and that you agree to these Terms. Any cancellation or refund rights that cannot legally be waived remain unaffected.

2. What's included

The Shop Planner is a one-time digital purchase priced at $49 USD. There is no subscription or recurring charge.

Your purchase includes:

Payments are processed through ThriveCart and Stripe and are subject to their applicable terms and policies.

Your purchase grants access to the Planner for your own use as described in these Terms. It does not transfer ownership of the Planner or its underlying materials to you.

3. Digital product access, cancellations, and refunds

The Planner is a digital product delivered electronically. Access may be provided shortly after your purchase.

All sales are final, and refunds are not provided except where required by applicable law. Nothing in these Terms removes or limits any consumer rights that cannot legally be excluded.

Depending on your country or region, you may have statutory cancellation, withdrawal, refund, or other consumer rights for digital content. Where required, we will obtain your consent to begin supplying digital content immediately and any separate acknowledgment required by law concerning the effect on your cancellation rights.

If a payment is reversed, disputed, or charged back, we may suspend your ability to generate additional Briefs while the payment issue is resolved. Existing Briefs may remain accessible through your account. We reserve the right to restrict or terminate account access where reasonably necessary to address fraud, misuse, or unpaid charges.

For questions about a purchase, contact hello@moodeestudio.com.

4. Accounts and access

Access to the Planner is provided through email-based login links rather than passwords.

Each purchase is for one individual using the Planner for their own business. You may not share your account or login links with others, transfer your access to another person, or distribute your account access as part of a service or product.

You are responsible for maintaining access to the email account associated with your Planner account and for protecting your login links from unauthorized use.

Please contact us if you believe someone has accessed your account without permission.

5. What your Shop Strategy Brief is and isn't

The Shop Strategy Brief provides general business and ecommerce strategy guidance based on the information you submit through the Planner and Moodee Studio's internally developed strategy framework.

Briefs are generated with the assistance of artificial intelligence. Although we aim to provide useful and relevant guidance, AI-generated content may contain errors, omissions, or recommendations that are not appropriate for your particular circumstances. You are responsible for reviewing the Brief and deciding whether and how to apply its recommendations.

The Planner does not visit, scan, audit, or analyze your website. Any website URL you provide is stored as part of your responses and is not automatically reviewed.

Your Brief is provided for informational and educational purposes only. It does not constitute legal, financial, tax, accounting, or other regulated professional advice. You should consult an appropriately qualified professional when needed.

We do not guarantee any particular business outcome, including increased sales, traffic, conversion rates, revenue, or profitability. Results depend on many factors outside our control, including your implementation, market conditions, and business circumstances.

6. Your questionnaire responses

You are responsible for the information you submit to the Planner, including its accuracy and appropriateness.

You agree to:

You retain ownership of the information you submit, subject to the rights and permissions necessary for us to operate the Planner and provide your Brief.

Our handling of questionnaire responses and other personal information is described in our Privacy Policy.

7. Intellectual property and permitted use

Your content: You retain ownership of the questionnaire responses you provide. You may use your Shop Strategy Brief for your own business, including implementing its recommendations and adapting its ideas to your needs.

Moodee Studio's content: Moodee Studio retains all rights to the Planner and its underlying materials, including its questionnaire, strategy framework, prompts, processes, structure, design, branding, and original content, except for materials owned by third parties.

Your purchase gives you a limited, non-exclusive, non-transferable right to access and use the Planner and your Brief for your own business purposes.

You may not, without our prior written permission:

These restrictions do not prevent you from using your Brief internally, sharing relevant recommendations with your own team or professional advisers as reasonably necessary for your business, or exercising rights that cannot legally be restricted.

8. The Web Edit offer

After generating your first Shop Strategy Brief, you may receive a personal discount code for $500 off Moodee Studio's Web Edit service, subject to the following conditions:

The Web Edit service is separate from The Shop Planner. Generating a Brief or receiving a discount code does not guarantee acceptance of a project or reserve a booking date.

We reserve the right to correct an error in an offer or withdraw an offer where permitted by law. We will not use this provision to unfairly remove a discount that you have validly earned and are entitled to use.

9. Emails and marketing

We may send emails necessary to deliver and operate the product you purchased, including account login links, purchase-related communications, and your Shop Strategy Brief.

Promotional emails are sent only to customers who actively opt in through the optional marketing consent checkbox. You may unsubscribe from marketing emails at any time using the unsubscribe link included in those emails.

Unsubscribing from marketing emails will not prevent us from sending essential communications relating to your purchase or account.

Our collection and use of personal information, including marketing preferences, are described in our Privacy Policy.

10. Acceptable use

You agree not to:

We may restrict or suspend access when reasonably necessary to protect the Planner, our customers, our intellectual property, or the security of our systems.

11. Availability and changes

We aim to keep the Planner available and functioning, but we do not guarantee uninterrupted or error-free access. Maintenance, technical issues, third-party service disruptions, or circumstances outside our control may cause temporary downtime.

We may update, modify, or discontinue features of the Planner where reasonably necessary for operational, technical, legal, or business reasons.

We may update these Terms from time to time. The latest version will be published at the relevant website address with a revised “Last updated” date. Where required by law, we will provide notice or obtain consent for material changes.

The retention and deletion of account information, questionnaire responses, Briefs, and other data are described in our Privacy Policy. Inactive Planner data is generally scheduled for deletion after two years of inactivity, subject to the exceptions and retention periods described in that policy.

12. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, misuse the Planner, compromise its security, engage in fraudulent activity, or reverse or fail to complete a payment.

Where reasonably practicable, we will provide notice and an opportunity to resolve the issue before termination, unless immediate action is necessary for security, legal, fraud-prevention, or other legitimate reasons.

Termination does not remove obligations or rights that arose before termination. Any data deletion following termination will be handled in accordance with our Privacy Policy and applicable law.

13. Disclaimers and limitation of liability

The Planner is provided on an “as is” and “as available” basis to the extent permitted by law. We do not guarantee that the Planner will meet every user's needs, operate without interruption, or produce any particular business result.

To the maximum extent permitted by applicable law, Moodee Studio will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, business opportunities, or data arising from your use of the Planner or reliance on a Brief.

To the maximum extent permitted by applicable law, Moodee Studio's total liability arising out of or relating to the Planner will not exceed the amount you paid for the purchase giving rise to the claim.

Nothing in these Terms excludes or limits liability, consumer rights, or remedies that cannot legally be excluded or limited under applicable law.

You agree to use the Planner responsibly and to evaluate its recommendations before implementing them. To the extent permitted by law, you are responsible for claims arising from your unlawful use of the Planner, your violation of these Terms, or your infringement of another person's rights. This provision does not require you to indemnify us for our own unlawful conduct or other liability that cannot legally be shifted to you.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules, except where mandatory consumer protection laws provide otherwise.

Any dispute will be handled by the courts with appropriate jurisdiction, subject to any mandatory rights you may have to bring a claim in your country or place of residence.

Nothing in this section limits any consumer protections or dispute-resolution rights that cannot legally be waived.
